1. DEFINITIONS AND EXPLANATIONS

1.2 In these Terms:

"Buyer" means the person who accepts an offer from the Seller for the sale of the Goods or whose order for the Goods is accepted by the Seller.' "Terms" means the standard terms and conditions of sale contained in this document and (unless the context otherwise requires) includes any special terms and conditions agreed in writing between the Buyer and the Seller;" "Contract" means the contract for the purchase of the sale of the Goods;" "Goods" means the Goods (including parts of the Goods or parts thereof) which the Seller is required to deliver in accordance with these Terms;" The Product" means any item supplied by the seller as part of the Goods." "Seller" means ProjectorLampsDirect.eu who supplies the goods;' 'Written' includes facsimile and electronic transmission and similar means of communication.' "Late Payment Act" means the Trade Debt Arrears (Interest) Act 1998 and any legal instruments implementing this Act.

1.3 Any reference in these Terms to any provision of a law shall be construed as a reference to that provision as amended, re-enacted or extended at the relevant time.

1.4 The headings in these Terms are for convenience only and shall not affect the interpretation thereof.

2. BASIS OF THE SALE

2.1 No amendment to these terms and conditions is binding unless agreed in writing between the authorized representatives of the buyer and the seller.

2.2 Any typographical, clerical error or other error or omission in any sales document, quotation, price list, acceptance of the offer, invoice or other document or information of the seller may be corrected without any liability on the part of the seller.

2.3 All industrial or intellectual property rights of any kind remain vested in the seller at all times.

3. ORDERS

3.1 All orders are subject to availability of the goods and written acceptance by the authorized representative of ProjectorLampsDirect.eu. Any prior confirmation by projectorlampsdirect.eu by telephone, fax or other medium shall be deemed to be provisional only.

3.2 Any quotation issued by the Seller is an invitation to deal with it and not an offer. The placing of an order in writing by the buyer shall be deemed to constitute an offer and an agreement shall be concluded if and as soon as this offer is accepted by projectorlampsdirect.eu and not at an earlier time. projectorlampsdirect.eu

4.1 The Seller reserves the right, by notifying the Buyer at any time before delivery, to increase the price of the Goods to reflect any increase in costs to the Seller due to a factor beyond the Seller's control (such as, without limitation, change of rights,  any change in the delivery dates, quantities or specifications of the goods requested by the Buyer, or any delay caused by the Buyer's instructions to provide the Seller with adequate information or instructions. If the Buyer is acting as a "Consumer" as defined by the Unfair Terms of Consumer Contract Regulations 1989, the Buyer may cancel the contract within 7 days of receipt of such notice.

4.2 Catalogues, price lists and other promotional material as used by the Seller are intended only as an indication of the price and range of the goods offered and no prices, descriptions or other details therein are binding on projectorlampsdirect.eu

5. MANUFACTURER SPECIFICATIONS

5.1 projectorlampsdirect.eu shall not be liable for any loss or damage caused by or arising from any variation for any reason in the manufacturer's specifications or technical data and shall not be responsible for any loss or damage resulting from curtailment or cessation of supply following such variation. projectorlampsdirect.eu will endeavor to notify the customer of any such imminent variation as soon as it receives notice from the Manufacturer.

6. TERMS OF PAYMENT

6.1 Invoices will be issued by projectorlampsdirect.eu and dated on the date of dispatch of the Goods. Unless expressly requested and agreed otherwise, the invoices are payable by the Buyer on the invoice date.

6.2 If the Buyer fails to pay by the due date, then the Seller shall, without prejudice to any other right or remedy available to the Seller, be entitled to:

6.2.1 cancel the contract or suspend further deliveries to the Buyer;

6.2.2 allocate any payment made by the Buyer to the Goods (or the Goods supplied under any other agreement between the Buyer and the Seller) at the discretion of the Seller (notwithstanding any alleged appropriation by the Buyer); and

6.2.3 charge the Buyer interest (both before and after any judgment) on the unpaid amount, in accordance with the Late Payment Act where applicable, or if not applicable at an interest rate of 4% per annum above the base rate of Barclays Bank PLC from time to time, until full payment has been made (part of the month shall be considered a full month for the purpose of calculating interest).

7. DELIVERY

7.1 projectorlampsdirect.eu reserves the right to charge for delivery to any destination specified by the buyer.

7.2 The dates given for delivery of the goods are approximate only and the Seller shall not be liable for any delay in the delivery of the goods, howsoever caused. Time for delivery is not important unless agreed in advance in writing by the Seller.

7.3 If delivery is delayed due to labour disputes or other circumstances beyond the control of the Seller, the deadlines for delivery will be extended by a period that is reasonable in these circumstances. If a delay of 6 months persists, unless the parties agree otherwise, the contact will be deemed to have ended without the seller being able to claim compensation.

8. FORCE MAJEURE

8.1 projectorlampsdirect.eu shall not be liable for the cancellation by projectorlampsdirect.eu of an order or any unfulfilled part thereof or for the performance of any partial delivery or performance if the performance by projectorlampsdirect.eu prevented or delayed, either directly or indirectly by any cause beyond projectors reasonable control projectorlampsdirect.eu whether such cause existed or was foreseeable on the date of acceptance of the order of the customer by projectorlampsdirect.eu or not and without prejudice to the generality of the foregoing, any cause shall be deemed to prevent, impede or delay projectorlampsdirect.eu if projectorlampsdirect.eu thereby prevented, impeded or delayed in the performance of other similar obligations, either to the customer or to third parties.

9. TRANSFER OF RISK AND OWNERSHIP

9.1 The risk of the Goods passes to the Customer upon delivery.

9.2 The ownership of the Goods shall remain with projectorlampsdirect.eu until full payment has been made by the Client.

9.3 If full payment is not made in accordance with projectorlampsdirect.eu standard terms and conditions of sale projectorlampsdirect.eu may projectorlampsdirect.eu require the customer to return the goods without delay at its own expense and if this requirement is not met immediately, the Seller shall be entitled at any time and without prior notice to repossess all or part of the Goods (and for this purpose the goods occupied by the customer) premises and separate the Goods from anything to which they are attached without being responsible for any damage caused by them) without prejudice to any other remedy available to projectorlampsdirect.eu.

10. WARRANTIES AND LIABILITIES

10.1 The Buyer shall only be entitled to the benefit of a warranty given to the Seller by the Manufacturer to the extent that the Seller is able to pass on such warranty to the Buyer.

10.2 Except as expressly provided in these Terms, all warranties, conditions or other terms implied by common law are excluded to the fullest extent permitted by law.

10.3 Where Goods are sold in the context of a consumer transaction (as defined by the Sale of Goods Act 1979) the Buyer's statutory rights are not affected by these terms.

10.4 Any claim by the Buyer based on a defect in the quality or condition of the Goods or on the fact that the Goods are not up to specification must be reported to the Seller within 3 days of the date of delivery or (if the defect or deficiency was not apparent on a reasonable inspection) within a reasonable period of time after the discovery of the defect or deficiency. If the Buyer does not notify the Seller accordingly, the Buyer shall not be entitled to refuse the Goods and the Seller shall not be liable for any such defect or deficiency and the Buyer shall be liable for the price as if the Goods had been delivered in accordance with the contract.

11. INDEMNITY

11.1 In no event shall the Seller be liable for any direct, indirect or consequential damages, including but not limited to damage to the Buyer's projector, loss of data and damage caused by the loss of data.

11.2 The Seller shall not be liable for any damages suffered by the Buyer as a result of the negligence or other tort of the Seller, its agents, employees or suppliers.

12. RETURNS

12.1 Returns must be made under the following conditions;

12.1.1 Prior consent has been obtained from projectorlampsdirect.eu. which will be given projectorlampsdirect.eu sole discretion.

12.1.2 Termination must take place within 14 days of the invoice date.

12.1.3 The Goods must be in their original packaging and properly packaged.

12.1.4 The Goods must be in a saleable condition.

12.2 If the Seller nevertheless agrees to accept Goods that are not in a saleable condition, ProjectorLampsDirect.eu. reserves the right to charge the Buyer for the costs of bringing the Products into resalable condition.

12.3 If you are a consumer, you have the right, among other rights, to cancel the contract and receive a refund, provided that this is communicated in writing, including by fax or e-mail. The product must be complete, unused and in a "like new" condition (e.g. if you opened the box to examine the product, you must have done so without damaging or marking the product or packaging in any way). You must inform the Seller in writing, quoting your invoice number, within 14 working days from the day after the Goods are delivered to the Buyer. The Buyer will be responsible for returning the Goods at the Buyer's expense. If the Buyer wishes to return the Goods, it is advisable that the Buyer takes out adequate insurance against loss or damage during transport. The packaging of the product must be protected from further wear and tear that may be caused during return transport. The Seller reserves the right to charge for repackaging the product or other costs incurred to return the product to its original condition when it was shipped to the Buyer.

13. RIGHT OF WITHDRAWAL

13.1 Right of withdrawal The Customer is free to terminate the purchase and sale agreement within a period of seven working days after the date of receipt of the Product, or within a longer period if offered. For the purpose of calculating this 14-day period, the date indicated on the acknowledgement of receipt confirming delivery shall apply. The exercise of the right of withdrawal is not subject to any formality and can be approved in any way permitted by law.

14. GENERAL

14.1 The waiver by projectorlampsdirect.eu of a breach of any term hereunder shall not prevent the subsequent enforcement of that condition, and shall not be deemed a waiver of any subsequent breach.

15. APPLICABLE LAW

This website has been incorporated in Ireland in accordance with the laws of the Republic of Ireland and shall be governed by the laws of that country. When you use the Site, you accept that your use of the Site, and all information on the Site, will also be governed by the laws of Ireland and if any dispute arises as a result of your use of the Site or any of the information on the Site, you agree that such dispute will be heard in the Irish courts.
